Missions

l  Head of GML based in Tokyo covering capital market legal work of Global Market Division (GMD) on a full time basis

l    Reporting functionally to APAC Regional Head GML (based in HK) and hierarchically to Head of GML Japan (based in Tokyo).

l  Act as a deputy of Head of Legal when necessary as instructed by Head of Legal, Japan (e.g. Head is on leave, etc. )

l  Assisting all Business Lines outside GMD in respect of legal matters (in both a transactional and advisory role), as instructed by the Head of Legal Japan

l  Drafting/review of legal documents related to capital market (e.g. ISDA/CSA, Japanese law repos, GMRA/GMSLA) through close communication with the relevant internal/external parties

l  Liaising with, and managing the use of, external counsel, ensuring that external advisers are duly and appropriately appointed

l  Assisting Compliance in providing advice and guidance on local regulations, laws and policies and their impact on the Bank’s business

l  Provision of advice taking into account the Bank’s interests and policies.

l  Providing a client driven service in the resolution of legal and regulatory issues, taking into account business needs, and contributing to solutions.

l  Keeping abreast of the latest legal, regulatory and case law developments affecting the business of the Bank, informing and educate the business. 

l  Dispute resolution on capital market products

l  Strategy and business planning for above.

l  Complying with the regular reporting requirements to Head of Legal, Japan and where necessary to Regional Head, General Counsel Asia Pacific and Head Office.

Minimal education level

3 years of higher education (L3)


Academic qualification / Speciality

Japanese Law degree  

Preferrable, Japanese bar or Anglo-American or European jurisdictions

 Law degree in Anglo-American or European jurisdictions, e.g. LLM.


Level of minimal experience

3-5 years


Experience

Experience in equivalent work in financial institutions (e.g. banks, security firms, etc.) or law firm in Japan


Expected skills

In depth knowledge in Japanese laws and regulations with focus on understanding of capital market products.

Documentation/negotiation skill, in Japanese and English

Communication skill in Japanese and English

IT literate


IT tools

IT tools commonly used in the international financial institutions

Relevant intranet system including Master Agreement DB, T360, etc.
